TERMS & CONDITIONS OF SERVICES

A+ BIANCHI CONSULTING

These Terms & Conditions reflect the professional standards and delivery principles applied by A+ BIANCHI CONSULTING in high-stakes training and consulting engagements.
 

1. Scope

These Terms & Conditions of Services (“T&Cs”) apply to all professional training and consulting services provided by A+ BIANCHI CONSULTING, agreed through quotations and formal training agreements, excluding any online sales.

By confirming an order or signing a quotation, the Client fully and unreservedly accepts these T&Cs.
These T&Cs prevail over any other document issued by the Client, including any purchasing terms and conditions.

2. Company Description

A+ BIANCHI CONSULTING is a professional training and consulting organization specializing in:

  • negotiation (sales, procurement, partnerships),

  • leadership and team management,

  • business communication and decision-making.

The company designs and delivers tailored in-company training programs across France and internationally, either independently or in partnership.

3. Definitions

For the purposes of these T&Cs:

  • Client: any individual or legal entity purchasing training services

  • Participant: any individual attending a training session

  • In-company training: customized training programs delivered for a specific Client

  • OPCO: French skills funding organizations

4. Financial Terms and Payment

All prices are expressed in euros (€), excluding VAT, and are subject to the applicable VAT rate.

For in-company training, a minimum deposit of 30% is required upon agreement confirmation.

Invoices are payable within 30 days from the date of issue, without discount.

In case of late payment:

  • statutory interest penalties will automatically apply,

  • A+ BIANCHI CONSULTING reserves the right to take legal action to recover outstanding amounts, at the Client’s expense.

5. Third-Party Funding (OPCO)

Where the Client requests funding from an OPCO, it is the Client’s responsibility to:

  • submit the funding request prior to the start of the training,

  • ensure approval is granted,

  • ensure payment is effectively completed.

If funding is only partial or not granted, the remaining balance shall be invoiced directly to the Client.

6. Contractual Documents

Each training assignment is formalized through a quotation and/or training agreement specifying:

  • scope and objectives,

  • duration and format,

  • number of participants,

  • delivery conditions,

  • pricing and funding arrangements.

All agreements comply with applicable French legal provisions.

7. Participant Replacement

The Client may replace a Participant before the start of the training at no additional cost, subject to prior written notice.

The Client remains responsible for informing the OPCO if applicable.

8. Cancellation and Attendance

Any training session started is due in full.

Cancellation by the Client must be notified in writing at least 15 calendar days before the start date.

Failing this, 100% of the training fee will be invoiced as a cancellation fee, unless otherwise agreed.

Absence or interruption does not release the Client from payment obligations.

9. Schedule and Delivery

Unless otherwise specified, training sessions are delivered on the basis of 7 hours per full day.

Details regarding location, schedule, and logistics are provided in advance.

10. Minimum Participants and Postponement

To ensure optimal learning conditions, training sessions are subject to minimum participant requirements.

A+ BIANCHI CONSULTING reserves the right to postpone a session up to 7 days prior to the scheduled date if conditions are not met, without compensation.

11. Liability

A+ BIANCHI CONSULTING is bound by an obligation of means, not of result.

Liability is strictly limited to direct damages resulting from proven fault.

In all cases, total liability shall not exceed the total amount paid by the Client for the services concerned.

12. Force Majeure

A+ BIANCHI CONSULTING shall not be held liable for failure to perform due to events beyond reasonable control, including but not limited to:

  • illness or accident of a trainer,

  • strikes or external disruptions,

  • natural disasters,

  • interruptions in transport, telecommunications, or energy supply.

13. Intellectual Property

All training materials (documents, content, methodologies, videos, etc.) remain the exclusive property of A+ BIANCHI CONSULTING.

Recording (audio or video) is strictly prohibited without prior written consent.

The Client and Participants may not reproduce, distribute, or exploit any content without explicit authorization.

14. Confidentiality

All information exchanged before, during, or after the training is strictly confidential.

However, unless explicitly refused, the Client authorizes A+ BIANCHI CONSULTING to reference its name as a client in its commercial materials.

15. Personal Data

Personal data may be collected and processed strictly for the purpose of delivering training services.

Data is handled in accordance with applicable regulations and retained for a maximum period of 3 years, unless legal obligations require otherwise.

16. Governing Law and Jurisdiction

These Terms & Conditions are governed by French law.

In the event of a dispute, the parties shall seek an amicable resolution.

Failing agreement, jurisdiction is assigned to the competent courts of Versailles (France).
